LOCKE_AGENCY SERVICE AGREEMENT

Service Agreement

This Service Agreement ("Agreement") is between Locke Agency ("Locke Agency," "we," "us") and the business or individual subscribing to a Locke Agency plan ("Client," "you"). By completing checkout and accepting these terms, you enter into a binding agreement. Please read it carefully.

01 // SERVICES

Locke Agency provides done-for-you local-business growth services, offered as the following plans:

  • Web Presence: a freshly built, hosted website plus Google Business Profile management, lead capture, edits, and ongoing maintenance.
  • Ad Management: setup, management, and optimization of paid advertising (Google Local Services Ads and search campaigns).
  • Full System: Web Presence and Ad Management combined.

All websites are built new by us. We do not migrate, copy, or take over a Client's pre-existing website.

02 // FEES & BILLING

  • Setup fee: a one-time fee charged at signup, covering the initial build and onboarding.
  • Monthly plans are billed in advance on the date you subscribe, and automatically renew on that same date each month.
  • Annual (prepaid) plans are billed in advance for twelve (12) months and automatically renew annually. The setup fee is waived on annual plans.
  • Ad Management fee is the greater of $400 per month or 12% of monthly ad spend. Any amount above the $400 floor is invoiced separately.
  • Ad spend (the budget paid to Google or other ad platforms) is paid by the Client directly to the platform and is not part of our management fee. You set your own budget.
  • Landing pages, when a campaign requires one, are $500 each (one-time), invoiced as needed.

All fees are in U.S. dollars. Payments are processed securely by Stripe; we never store your card details.

03 // TERM, RENEWAL & CANCELLATION

  • — Plans are month-to-month (or annual) and renew automatically until cancelled.
  • — You may cancel at any time. Cancellation takes effect at the end of your current paid billing period — your service continues until then.
  • We do not prorate or refund the unused portion of a billing period. You keep service through the period you have already paid for.

04 // REFUNDS

  • — The setup fee is non-refundable — it covers build work performed at the start of the engagement.
  • Annual (prepaid) plans are non-refundable.
  • — Monthly fees already charged are non-refundable; cancellation simply stops future charges (see Section 03).

05 // WEBSITE OWNERSHIP (WEBSITE-AS-A-SERVICE)

Your Web Presence is provided as a service, not as an outright purchase. The setup fee pays for building your site as part of that service — it does not transfer ownership of the site to you.

  • — While your subscription is active, we build, host, and maintain your site on our infrastructure.
  • If you cancel, the live site is taken down and you do not automatically receive the site files or code.
  • You may keep your site by paying a one-time site release fee of $1,000, which includes export of your site files and transfer of your domain (Section 06).
  • Content you provide — your logo, photos, and written materials — remains yours at all times.

06 // DOMAIN NAME

  • — We hold and manage your domain in our account during your active subscription to operate your site and email reliably.
  • — Your business-name domain belongs to you. Upon cancellation, we will transfer the domain to you at your request. We will never withhold your brand's domain.

07 // GOOGLE BUSINESS PROFILE & ADVERTISING ACCOUNTS

  • — We manage your Google Business Profile as a Manager, never as Owner. You retain ownership of your profile.
  • You own your advertising accounts, pixels, tracking, and data. We operate them on your behalf; access is returned to you on cancellation.

08 // RESULTS & DISCLAIMERS

We work to grow your business, but we do not guarantee specific results — including any particular number of leads, calls, rankings, ad performance, or revenue. Advertising outcomes depend on factors outside our control (your market, budget, pricing, response time, and the ad platforms themselves). Services are provided "as is."

09 // CLIENT RESPONSIBILITIES

You agree to provide accurate business information, timely approvals, and any access we reasonably need to deliver the services. You are responsible for the legality and accuracy of content and claims you ask us to publish (e.g., licensing, certifications, offers).

10 // INTELLECTUAL PROPERTY

Our templates, code, systems, and processes remain our property. During your active subscription you receive a license to use the site and materials we produce for your business. Your own brand assets and content remain yours.

11 // LIMITATION OF LIABILITY

To the maximum extent permitted by law, Locke Agency's total liability for any claim arising from this Agreement is limited to the amount you paid us in the three (3) months preceding the claim. We are not liable for indirect, incidental, or consequential damages, or for lost profits or revenue.

12 // CHANGES TO THESE TERMS

We may update this Agreement from time to time. Material changes will be communicated to active Clients, and continued use of the services after an update constitutes acceptance.
